1. Binding Agreement & Acceptance of Terms
These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between you (either as an individual or the legal entity on whose behalf you act, hereinafter "User", "you", or "your") and LogicaFlow ("Platform", "we", "us", "our", or "Operators"), regarding your access to and use of https://logicaflow.dev, its APIs, local runtimes, desktop bridges, connectors, rule modules, and all associated software and documentation.
BY ACCESSING, DOWNLOADING, INSTALLING, EXECUTING, OR OTHERWISE USING ANY PART OF LOGICAFLOW, YOU UNCONDITIONALLY ACCEPT AND AGREE TO BE BOUND BY EVERY PROVISION OF THIS AGREEMENT. IF YOU DO NOT AGREE FULLY AND WITHOUT MODIFICATION, YOU ARE EXPRESSLY FORBIDDEN FROM USING THE PLATFORM AND MUST IMMEDIATELY CEASE ALL USE.
2. Explicit Disclaimer of Legal, Judicial & Professional Advice
NO LEGAL OR FIDUCIARY RELATIONSHIP: LogicaFlow is solely a technological automation and workflow orchestration software tool. LOGICAFLOW DOES NOT PROVIDE LEGAL, JUDICIAL, PROCEDURAL, FINANCIAL, TAX, OR REGULATORY ADVICE OF ANY KIND.
The platform, its rule engines, statutory deadline calculators, e-filing helpers, LLM prompt connectors, and automation flows are computational aids only. They do NOT replace the professional judgment, legal verification, or statutory diligence of a licensed attorney, legal practitioner, or qualified professional.
- Sole User Responsibility for Deadlines: You acknowledge and agree that calculating statutory time periods, judicial holidays, limitation periods, appeal windows, and filing deadlines is subject to complex statutory rules and judicial interpretations. You bear 100% sole, non-delegable responsibility for independently confirming and verifying any date, timeline, or calculation before taking, or refraining from, any procedural or legal action.
- Zero Liability for Adverse Outcomes: Under NO circumstances shall LogicaFlow or its Operators be held liable for any missed statutory limitation periods, missed court dates, procedural forfeitures, default judgments, adverse rulings, client disputes, or professional disciplinary proceedings resulting from reliance on the platform.
- No Attorney-Client Privilege: Transmission of information via LogicaFlow does not create an attorney-client relationship between you (or your clients) and LogicaFlow or its Operators.
3. Complete Assumption of Risk by User
You expressly acknowledge and agree that your use of LogicaFlow, including all automated workflows, data processing pipelines, local vault storages, external API integrations, and webhook dispatches, is conducted ENTIRELY AT YOUR OWN RISK.
You understand that software, networks, artificial intelligence models, cloud relays, and judicial portals may experience latency, dropped packets, unexpected errors, downtime, API schema modifications, or behavioral variations. You are solely responsible for establishing and maintaining independent verification procedures, redundant reminders, and secondary failover mechanisms.
4. Disclaimer of All Warranties ("AS IS" and "WITH ALL FAULTS")
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, SERVICES, SOURCE CODE, INTEGRATIONS, AND ALL CONTENT ARE PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS.
LOGICAFLOW AND ITS OPERATORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OR INTENDED PURPOSE, WORKMANLIKE QUALITY, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, CONTINUOUSLY SECURE, ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE;
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY OUTPUT, DEADLINE CALCULATION, STATUTE TABLE, LOGIC EVALUATION, OR LLM-GENERATED RESPONSE;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL CODE.
5. Total Limitation of Liability & Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGICAFLOW, ITS FOUNDERS, OPERATORS, CONTRIBUTORS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:
- DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER;
- LOSS OF REVENUE, PROFITS, CONTRACTS, ANTICIPATED SAVINGS, CLIENTS, BUSINESS REPUTATION, OR GOODWILL;
- LOSS, CORRUPTION, OR TAMPERING OF DATA, DATABASES, WORKFLOW CONFIGURATIONS, OR VAULT FILES;
- COSTS OF PROCURING SUBSTITUTE SERVICES OR SOFTWARE;
- ADVERSE COURT DECISIONS, PROCEDURAL PENALTIES, STATUTORY LOSS OF RIGHTS, OR REGULATORY FINES.
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, PROFESSIONAL MALPRACTICE, OR ANY OTHER CAUSE OF ACTION), EVEN IF LOGICAFLOW OR ITS OPERATORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
ABSOLUTE LIABILITY CAP: In any event and under all circumstances, our maximum aggregate liability to you for any and all claims arising out of or related to this Agreement or the Platform shall be strictly capped at and shall not exceed the lesser of: (A) the exact amount paid by you to LogicaFlow in the thirty (30) days immediately preceding the event giving rise to liability, or (B) ZERO UNITED STATES DOLLARS ($0.00 USD).
6. Mandatory Indemnification (User Defends & Protects Us)
You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS LogicaFlow, its creators, operators, directors, employees, contractors, licensors, and affiliates from and against ANY AND ALL claims, actions, suits, liabilities, damages, losses, costs, penalties, judgments, and expenses (including reasonable attorneys' fees, court costs, and expert witness fees) arising out of or related to:
- Your access to, deployment of, or use of the Platform, workflows, or APIs;
- Any violation or breach by you of any provision of these Terms or applicable laws;
- Any claim asserted by third parties, your clients, counterparties, or judicial authorities related to workflows, deadlines, filings, or communications executed via LogicaFlow;
- Any automated action, payload, webhook, or transaction triggered by your credentials or infrastructure;
- Your infringement, misappropriation, or violation of any intellectual property, privacy, or proprietary right of any person or entity.
LogicaFlow reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with our defense.
7. Third-Party Integrations & Judicial Portals (UYAP & APIs)
If you configure LogicaFlow to interact with third-party platforms, APIs, cloud LLMs, or government and judicial portals (such as UYAP or e-filing systems):
- You are solely responsible for ensuring your compliance with all third-party Terms of Service, security requirements, and local laws.
- LogicaFlow is not affiliated with, authorized, or endorsed by any judicial administration, ministry, or regulatory body.
- We disclaim any and all liability for third-party service interruptions, portal rate-limiting, CAPTCHA blocks, IP bans, or administrative actions resulting from your automated interactions.
8. Intellectual Property & User Workflows
Our Property: LogicaFlow, its source code, architecture, designs, trademarks, and documentation remain the exclusive intellectual property of LogicaFlow and its licensors.
Your Workflows: You retain ownership of the proprietary business logic, schemas, and credentials you create. You grant LogicaFlow only the non-exclusive technical rights necessary to execute and operate your workflows as instructed by you.
9. Suspension, Modification & Termination
We reserve the absolute, unilateral right, without prior notice and without any liability to you, to:
- Modify, patch, deprecate, or discontinue any feature, API, or component of the Platform;
- Impose rate limits, quotas, or restrictions on usage;
- Suspend or terminate your access immediately if we suspect any breach of these Terms, unlawful conduct, or security vulnerability.
10. Dispute Resolution, Governing Law & Class Action Waiver
Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with applicable laws, without giving effect to any principles of conflicts of law.
CLASS ACTION WAIVER: YOU EXPRESSLY AGREE THAT ANY DISPUTE OR CLAIM SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE PROCEEDING, OR COLLECTIVE LAWSUIT AGAINST LOGICAFLOW OR ITS OPERATORS.
Statute of Limitations: Any claim or cause of action arising out of or related to your use of LogicaFlow must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
11. Severability & Survival
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
Sections 2, 3, 4, 5, 6, 7, 10, 11, and 12 shall survive any expiration, termination, or cancellation of this Agreement.
